Terms of service

Version 2026-09-05. Layer Systems Ltd ("we", "us") provides Spendlint ("the service") to the organisation on whose behalf you accept these terms ("you"). The service is for business use only.

1. What the service is

The service reads configuration, metrics, billing and licence data from the Microsoft Azure subscriptions and Microsoft 365 tenants you link, and produces a report of potential cost savings, guardrails and modernisation options. It is read-only by design: it requests read permissions only and never creates, changes or deletes resources, licences, settings or commitments in your tenants.

2. What the service is not

The report is information to help you decide, not advice. We do not provide legal, tax, accounting, licensing-compliance or engineering advice, and nothing in the report is a representation that a change is appropriate for your workloads. In particular, whether you hold licences that qualify for Azure Hybrid Benefit or similar programmes is for you to establish with your licensing agreement; the report keeps such savings out of its headline for that reason.

3. You run the changes

The report includes commands, portal links and a way back for each recommendation so that you can act on it. You alone decide whether, when and how to act. You agree to review each command before running it, to test it outside production where practicable, to take a backup or snapshot where the way back needs one, to run changes within your own change-control process, and to keep the credentials you use to do so secure. Any change you or anyone acting for you makes to your environment, whether based on the report or not, is made at your own risk.

4. Accuracy of figures

Savings, costs and prices in the report are estimates. Where possible they use your actual bill for the last closed billing month; otherwise they use published list prices, and the report states the basis for each figure. Figures depend on the data your tenant returned at the time of the scan and may be incomplete where a source could not be read, which the report also states. An estimate is not a promise of future charges, a credit, or a guarantee that any saving will be realised.

5. Prices and the savings guarantee

The preview shown before payment is free. A report is unlocked by a one-time payment priced by the monthly Azure and Microsoft 365 spend the scan measured: Starter (under £5,000/month) £250; Business (£5,000–£25,000/month) £600; Enterprise (£25,000–£75,000/month) £1,200; Enterprise Plus (over £75,000/month) £2,400. The band and the price are shown before you pay. Rescans of the same tenant within 30 days of a purchase are included. If a scan's estimated unconditional monthly savings are less than the price of its report, that report is unlocked free of charge; this is the whole of our savings guarantee and your sole remedy in respect of the amount a scan finds. Prices exclude VAT. Payments are processed by Stripe under its own terms.

6. Refunds

You may request a full refund of a report within 14 days of purchase by emailing support; access to that report ends when the refund is issued.

7. Subscriptions

Monitor and Partner are subscriptions billed in advance, monthly or yearly, at the price shown when you subscribe; Monitor is priced by the band of the tenant it covers at that time. They renew automatically until cancelled from the billing portal, and cancellation takes effect at the end of the paid period. Subscription payments are not refunded for unused time. A plan covers the number of linked tenants stated for it, the tenant it was bought for first. Monitor is priced by the band measured when you subscribe; a tenant that later measures a higher band needs the plan for that band, which you can move to from the report page, and the old plan then ends with its unused time credited. A report a plan has opened stays open after the plan ends; new scans need a plan or a purchase. If a renewal payment fails, reports stay open for three days while it is retried, then lock until the card is updated.

8. Your obligations

You confirm that you are authorised to accept these terms for your organisation, to grant read access to the tenants you link and to receive the data in the report, including the names of licence holders where you grant licence access. You will use the service only for your own organisation or for clients who have authorised you to do so, and not to gain access to any tenant without authority. You will keep your sign-in credentials secure and tell us promptly if you believe they have been compromised.

9. Data

We process the data we read from your tenants only to provide the service to you, as described in the privacy notice and the data processing terms, which form part of these terms. Reports and scan data are deleted 90 days after a scan finishes, when you delete a scan, or when you delete your account, whichever is first. Unlinking a tenant deletes its stored credential and any connector keys at once; the reports you bought stay until you delete them or they expire.

10. Availability

We aim to keep the service available but do not promise uninterrupted operation. A scan depends on Microsoft's APIs, which may throttle, fail or change; a scan that cannot complete is not charged.

11. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law. Subject to that: (a) we are not liable for any loss of profit, revenue, savings, data or goodwill, for the cost of procuring substitute services, or for any indirect or consequential loss; (b) we are not liable for any loss arising from changes made to your environment, by you or on your behalf, whether or not based on the report, including outages, data loss, licence non-compliance and increased charges; (c) we are not liable for inaccuracies in data returned by Microsoft or in published prices; and (d) our total liability arising out of or in connection with the service in any twelve-month period is limited to the fees you paid us in that period. The service is provided as is; to the extent permitted by law, all warranties and conditions not expressly stated here are excluded.

12. Indemnity

You will indemnify us against claims, losses and costs arising from your breach of section 8, from changes made to any environment based on the report, and from your use of the report for any client.

13. Changes, suspension and termination

You may delete your account at any time from the Account page. We may suspend or end access to prevent abuse, on non-payment, or for legal reasons. We may change these terms; a change that affects you materially will be shown to you for acceptance before you next link, scan or pay, and the version you accepted is recorded on your account.

14. General

These terms are the entire agreement between us about the service. If a part of them is unenforceable, the rest stands. They are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
